Please read these Terms of Service ("Terms") carefully before using Floater ("the Service", "the App"), operated by Pelican Apps ("we", "us", or "our"). By installing the App into a Slack workspace or accessing our website (https://floater.pelicanapps.com/), you ("Customer", "You") agree to be bound by these Terms.
1. Description of Service
Floater provides on-call rotation management, shift override scheduling, and automated user group notification routing designed for teams using Slack.
2. Accounts and Workspace Authority
- Authority: The individual installing Floater represents and warrants that they have the authority to bind their employer or customer entity to these Terms.
- Slack Account Requirement: Access to the Service requires a valid, active Slack workspace. You are responsible for managing access permissions within your workspace.
3. Subscriptions, Fees, and Payments
- Currency: All fees, subscription prices, and billing transactions are denominated and charged in United States Dollars ($ USD).
- Free Trials: Upon installing Floater, a free trial begins automatically. You are not required to enter payment details to start a trial. Upon expiry of the trial period, access to paid functionality will pause until a paid subscription is explicitly purchased.
- Billing Processor: Subscription purchases are processed securely via our third-party merchant of record, Lemon Squeezy. You agree to provide accurate billing details when upgrading to a paid plan and authorize recurring subscription charges according to your selected tier.
- Cancellation: You may cancel a paid subscription at any time via your Lemon Squeezy billing portal. Cancellation takes effect at the end of the current billing cycle, and you will retain access to paid features until that period concludes.
4. Acceptable Use & API Dependencies
- You agree not to reverse engineer, resell, or exploit the App infrastructure.
- Slack Dependency: Floater relies on Slack Technologies, Inc.'s APIs and service availability. We are not responsible or liable for any service interruptions, delayed notifications, or API failures caused directly by Slack outages or third-party infrastructure.
5. Data Protection & Privacy
Each party shall comply with its respective obligations under applicable data protection legislation (including UK GDPR and US state privacy laws). Pelican Apps processes personal data and workspace identifiers solely to deliver the Service in accordance with our Privacy Policy. We do not sell, rent, or trade customer data to third parties.
6. Intellectual Property
Pelican Apps retains all right, title, and interest in and to Floater, including all software, branding, code, and intellectual property. You receive a limited, non-exclusive, non-transferable license to use the App within your authorized Slack workspace during your paid subscription term.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- Floater is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including fitness for a particular on-call alerting purpose.
- Pelican Apps shall not be liable for any indirect, incidental, consequential, or lost revenue damages resulting from missed on-call alerts, delayed notifications, or service downtime.
- Our total aggregate liability under these Terms shall not exceed the total amount paid by You to Pelican Apps for the Service in the three (3) months preceding the event giving rise to the claim.
8. Termination
- By Customer: Uninstalling the App from your Slack workspace stops Floater from operating in that workspace, but does not itself cancel a paid subscription or stop billing - subscriptions must be cancelled separately via your Lemon Squeezy billing portal.
- By Pelican Apps: We reserve the right to suspend or terminate access immediately if You breach these Terms or fail to pay subscription fees.
- Post-Termination Data: Uninstallation or subscription cancellation does not automatically delete your workspace data. Data is retained and handled as described in our Privacy Policy, including how to request deletion.
9. Governing Law & Jurisdiction
These Terms and any non-contractual obligations or disputes arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute.
10. Changes to Terms
We may update these Terms from time to time. Continued use of the Service following published updates constitutes acceptance of the modified Terms.
